1.景區提倡文明旅游，請勿進行隨地吐痰、亂扔垃圾等不文明行為。

觀演須知
Notice to Spectators
1.游客持票入場，請勿隨意走動，大聲喧嘩，擾亂觀演秩序。
1. Produce your ticket for entry. Please do not walk about or make an uproarious noise in order not to disturb the performers and other spectators. ?
2.請保管好隨身物品，照顧好老人兒童。保持場地衛生，請勿亂扔垃圾。

3.文明觀演。請勿向動物投擲物品，表演時不要使用閃光燈或發出尖叫驚嚇動物。演出精彩時可給予掌聲，表演失誤時應予鼓勵，不可起哄、喝倒彩。

游樂設備乘坐須知
Notice for the Use of Amusement Facilities
1.患有心臟病、高血壓的游客及懷孕、酗酒者請勿乘坐；身高或年齡未符合標準者請勿乘坐。

根據中華人民共和國民法典和民法典的相關規定，甲方、乙方和擔保方經過協商，就乙方向甲方貸款事宜達成如下合同條款。

二、本合同履行期間，遇中國人*銀行貸款利率調整，借款利率按有關規定調整與執行，乙方將在營業場所對貸款利率調整情況進行公告，不再另行書面通知甲方。
第四條借款期限及還款總期數
一、借款期限詳見本合同第十四條第四款。
二、實際借款發放日與本合同約定的日期不一致時，以實際借款發放日為準計算借款期限。
三、甲、乙雙方約定甲方按期還款，確定還款總期數，詳見本合同第十四條第四款。
第五條借款發放Article5ReleaseofFundsundertheLoan
一、乙方發放借款的前提是甲方提供了符合乙方要求的證明材料，履行了乙方要求的申請借款和擔保手續，簽署了申請借款所需法律文件并經乙方審查同意。
二、甲方授權乙方在審查同意后，將借款直接劃入甲方指定并經乙方認可的賬戶(賬戶名稱、賬號詳見第十四條第五款)，即為乙方依約履行了向甲方提供借款的義務。
三、本合同項下的借款發放后，甲方就所購商品或服務發生的任何糾紛，均與乙方無關，本合同應正常履行。
第六條借款償還Article6RepaymentoftheLoan
一、甲方應根據乙方相關貸款辦法規定，在下述四種還款方式中選擇一種方式歸還借款本息，甲方選擇的還款方式詳見本合同第十四條第六款，
二、甲方應當于乙方規定的每期還款日(詳見第十四條第六款)前，將當期應償還的借款本息及逾期的罰息、復利等足額存入在乙方開立的還款賬戶(賬戶名稱及賬號見第十四條第六款)，并不可撤銷地授權乙方于當期還款日直接從該賬戶劃收應收款項。

4.2 租期屆滿,甲方有權收回全部房屋，乙方應在租期屆滿日或之前，以甲方交付時狀態或雙方共同認可的狀態將房屋完好交還甲方。

4.3 租期屆滿,乙方如要求續租,應在本合同期限屆滿前兩個月提出書面申請，取得甲方同意后，甲、乙雙方須另行簽署租賃協議。
If Party B wishes to renew the lease, party B shall submit a written application to Party A two months prior to the expiry of this lease, and a lease agreement shall be concluded between the parties separately subject to Party A’s consent.

七、支付方式:

◆ 中英合同
根據中華人民共和國《合同法》、《公司法》，本著真誠合作、共同發展、互利互惠的原則，甲乙雙方經友好協商，就合作開發建設位于 地塊房地產項目事宜，達成如下條款，以資共同遵守。
雙方本次合作開發的項目暫定名稱為 “ ”，最終名稱以政府主管部門核準的名稱為準(以下簡稱“本項目”)。
本項目占用的土地位于 ，土地成交確認號為 國土 告字(xx-12-6)號商住土地一部分，即 a路南.b路西，四至坐標見《土地使用權界址坐標表》。
本項目總用地面積約平方米，甲方已經依法取得土地使用權。
上述項目用地面積和用地性質按市政府有關部門最后核定為準。
本項目用地規劃指標根據 經濟技術開發區規劃局頒發的《建設用地規劃許可證》確定為準，作為雙方合作項目建設指標。
1、甲方提供符合本合同第一條約定內容的商品房項目建設用地，但不參與項目開發建設和監督經營管理。
2、乙方提供本項目除土地地價之外的全部開發建設資金，并負責本項目的開發建設及經營管理工作。
3、乙方承擔項目銷售費用。銷售費用包括廣告費用、委托銷售代理費及其他為銷售房屋而支出的費用。
4、本項目以乙方的名義開發建設。
1.作為此項目合作收益，項目開發完成后，甲方將分得平米高層住宅樓(甲方做回遷樓用)，具體位置為項目中第 號樓。
乙方享有該開發項目中除甲方分得平方米回遷樓收益之外的所有收益權。按同樣比例承擔政府依法收取的稅費。
2、乙方銷售房屋時，銷售款進入由乙方帳戶，在預留應向政府繳納的各項稅費后由乙方支配。
1、甲方負責提供本項目之合法有效的土地使用權證明，保證本項目《土地使用權證》的合法性、真實性，承擔項目用地的全部地價款。
2、甲方負責提供有關手續，協助乙方辦妥本項目的《建設用地規劃許可證》、《建設工程規劃許可證》、《建設工程開工許可證》、《商品房預售許可證》以及有關消防、環保、人防等事項的報批手續。負責協調政府有關部門的關系，確保項目順利完成開發建設。
4、甲方為處理征地遺留問題、搬遷及安置補償問題的責任主體，乙方負責具體實施，以確保本項目順利開發。
5、甲方負責辦理本項目合作開發的政府審批及登記手續，甲方應為所售房屋辦理房屋產權證提供相關手續和便利。
6、甲方應為購房者申請按揭貸款提供銀行認可的階段性擔保責任。
1、乙方按照本合同的約定如期投入項目建設所需的全部資金，保證建設工程按時按質完成。
2、乙方負責場地清理，場地平整等。
3、乙方負責本項目方案的設計，并承擔設計費用。報政府主管部門審批，報建獲得批準后應盡快完成施工設計。
4、乙方負責本項目工程建設的管理、房屋銷售工作，包括選擇施工單位、監理單位、材料供應單位、銷售代理單位，以乙方名義分別與上述單位簽訂并履行《建設工程承包合同》、《建設工程監理合同》以及有關建筑裝飾材料、設施、設備的《買賣合同》、《委托銷售代理合同》等。甲方對乙方的經營有義務給予協助，提供或辦理實施上述行為所必須的手續。
5、乙方負責組織工程的各項竣工驗收，保證工程質量符合國家規定的標準。對于存在的質量問題，乙方負責解決，承擔工程的質量保證、保修責任。
6、乙方應按照工程合同約定向施工單位支付工程款。本項目各項工程竣工驗收后，乙方應及時進行工程結算并按合同約定結清工程款。
7、乙方負責按照本合同第七條確定的交房標準按質按量按時建設完工。
1、本項目計劃分 期開發。
2、本項目的開發周期為 年(自簽訂合同之日起計算)，因政府審批原因導致上述期限在項目用地不具備開發條件的情況下，時間相應順延。
為了協調雙方合作關系，保障雙方適當全面履行合同義務，確保合作項目的順利開發，雙方同意組成“項目協調小組”，甲方指派專職成員兩名，乙方指派專職成員兩名，專門負責雙方的協調工作。
1、小區內單位工程的基礎工程、主體工程、砌筑工程、屋面保溫防水工程，其他防水防滲工程等，以設計院的施工圖紙為準。
2、單位工程的室內外裝修工程、門窗工程，原則上以設計圖紙為準。
3、單位工程內的水電安裝、電視電話系統工程，原則上以設計圖紙為準。。
4、電梯工程采用 電梯。
5、小區內的環境綠化工程，委托有資質的專業公司承擔設計(須滿足園林綠化的規劃指標)，標準經甲方確認并報政府主管部門批準執行。
6、小區內的消防系統工程，按消防主管部門審定的意見執行。
7、人防工程，按人防主管部門審定的意見執行。
1、本項目如涉及有線電視、管道煤氣、防盜報警、寬帶網絡等系統的初裝及開戶費用由乙方墊付，在客戶辦理入伙時直接向客戶收取，未售出而分配給甲方的部分，由甲方在分配時按面積及相關標準一次性支付給乙方。
2、乙方須嚴格按照雙方協商約定的建設標準建設，不得降低交房標準。本項目交房標準如有提高，所增加費用由乙方自行承擔，不影響銷售分配比例，但甲方要求提高標準的除外。
3、本項目的所有對外營銷廣告由乙方設計、制作和發布。
4、本項目的前期物業管理由乙方組建或委托物業管理公司進行管理，直至業主委員會成立選定新的物業管理公司。
6、為了保障項目的進行乙方有權以本項目用地及其建設工程設定擔保物權或成立租賃權。甲方應當予以配合。
1、甲、乙雙方應嚴格履行本合同約定的義務，任何一方不履行合同義務、或履行合同義務不符合約定的，應向守約方承擔違約責任。
2、在簽訂本合同之后，因甲方原因導致本合同無法履行或者甲方違反本合同第八條第6項約定的，乙方有權全部或部分解除合同，甲方應在收到乙方解除合同通知起三日內，應賠償乙方實際投資的全部投資本息，并按照乙方已實際投資的30%向乙方支付違約金(實際投資是指乙方前期發生的各種委托設計費用、報建費用及臨建已建工程和與項目工程建設直接有關的其它費用，經評估機構鑒定后確認)。
3、在本項目合作開發審批之后，因乙方原因導致本合同無法履行，并按照實際投資的30%向甲方支付違約金。
4、任何一方違反合同，違約金不足補償守約方損失的，還應予以賠償。
5、在本項目總體規劃通過之后，任何一方不得擅自解除合同或終止合作。否則，違約方應賠償守約方的所有經濟損失，賠償款不少于以下金額：
未開發建筑面積(違約時未開發土地面積×容積率)×【銷售單價(以違約時的評估值為準)-每平方米建安成本(以違約時的評估值為準)】×50%
如本條與本合同其他條款有沖突，以本條約定為準。
由于不可抗力導致本合同不能按期履行的，不可抗力因素消除后，雙方順延履行合同。
凡因執行本合同發生糾紛，甲、乙雙方應及時協商解決，協商不成時，任何一方均有權向營口仲裁委員會申請仲裁或向有管轄權的人民法院提起訴訟。
本合同書未盡事宜，由甲、乙雙方另行簽訂補充協議，經雙方法定代表人簽字蓋章的補充協議書，與本合同書為不可分割的法律文書，具有同等的法律效力。
本合同自甲乙雙方簽字蓋章之日起生效。
本合同一式六份，甲、乙雙方各執二份，其余交有關部門備案。
合作的方式多種多樣，如合作設立公司、合作開發軟件、合作購銷產品等等，不同合作方式涉及到不同的項目內容，相應的協議條款可能大不相同。
本協議的條款設置建立在特定項目的基礎上，僅供參考。實踐中，需要根據雙方實際的合作方式、項目內容、權利義務等，修改或重新擬定條款。
甲、乙雙方依據《中華人民共和國合同法》以及國家有關礦產資源開采和土地利用等相關法律、法規的規定，本著平等協商、互惠互利、合作共贏的原則?，F就位于___________的___________合作開發事宜達成協議如下：
乙方將位于________________________的合法承包地轉讓給甲方開采，開采年限為_____年，本合同合作項目總占地面積約為_____平方米，折合約_____畝。
礦的性質為_____，乙方承諾對此享有絕對的、合法的礦山權、礦產權及相關物權，并未就該礦山相關權利設立任何抵押、質押、擔保，亦未出租給任何第三方，否則乙方愿意承擔由此引起的全部后果。
風險提示：
應明確約定合作方式，尤其涉及到資金、技術、勞務等不同投入方式的。同時，應明確各自的權益份額，否則很容易在項目實際經營過程中就責任承擔、盈虧分擔等產生糾紛。
1、乙方提供上述礦山資源作為與甲方進行合作開采開發礦山項目，本項目合作期限為_____年，自_____年_____月_____日至_____年_____月_____日。
2、在雙方合作開采礦山期限內，乙方不得以任何理由擅自開采或者轉讓該礦山及礦產，也不得與其他方再進行任何形式的合作開發。
3、甲方負責項目全部開發資金、設備投入和協調各方面關系，確保礦山順利開采。
4、合作開發期限內，甲方對礦山開采過程中，乙方應當確保進出礦山機械設備，運輸車輛所需道路暢通無阻，如有礦山土地權屬與鄰近他人礦山邊界之間的爭議事項發生，乙方應當積極出面協調解決，甲方予以配合。
5、乙方以礦山相關資源作為合作基礎獲取固定回報，乙方應當積極協助甲方辦理相關手續，并負責協助甲方看管礦山不被他人盜挖、盜采。
6、本項目合作期內，乙方不再投入任何資金用于該項目的開采開發，但乙方必須提供開發此礦山的權屬證明及宗地圖，負責按約定將場地移交給甲方。否則乙方須承擔甲方為籌備本合作項目所產生的一切費用。
7、合作開采期內，如遇不可抗力或客觀原因導致的開采期延長，本協議的合作期限亦相應順延。
上述合作開發礦山項目中，利潤按月分配，在每月的純利潤分配時，甲方占_____%，乙方占_____%，即按_____分成的方式進行利潤分配。每月利潤按純利潤分配，即除去開采成本（挖機費用、工人工資，車輛運輸費用等）后的純利潤分配。

（3）積極配合甲方在大學生創業實踐方面開展的各項活動。
（4）每個季度組織創業學生向甲方提供經營報告；對甲方的不定期問詢，乙方需積極配合。
（5）對基地設施進行二次維修，須提前向甲方提交裝修方案，經甲方批準，方可實施。
1、乙方所經營的物品需妥善保管，如因管理不善丟失，甲方概不負責。
2、甲方授權乙方可以在園區內進行學生創意作品的展示與商品的經營。
1、協議期滿，本協議自然終止。
2、乙方因長期大幅度虧損的想放棄經營權，且經甲方核實其虧損屬實，乙方有權申請終止協議。

8。 代銷其他條件：
1） 乙方不得將該商品作抵押、出租、借用等代銷行為之外的任何商業或經濟處置。
2） 乙方不得再從任何第三人處批發、購進、代為銷售該代銷商品或與代銷商品相同品牌的其他商品或假冒商品。
3） 乙方要充分掌握甲方的產品知識，如因銷售過程中對產品知識認識不足導致與客戶間的糾紛，甲方不承擔任何連帶責任。
4） 乙方不得將該商品轉委托給他人代銷，也不得在本合同所列明代經營的專柜之外的任何地點、商場、商鋪、場所、商柜代銷該商品。
5） 如顧客使用乙方發出的'優惠卡、貴賓卡等折扣卡購物，或店鋪開展打折銷售的活動時，甲方不承擔有關的折扣費用。乙方接受顧客使用信用卡付款時，甲方不承擔由此而發生的收款風險或有關的手續費用。
6） 乙方未經甲方同意不得擅自在代銷該商品的柜臺或櫥窗擺放任何折扣的標記、標簽等，也不得擅自就該商品作任何價格折扣的廣告宣傳。
7） 乙方所得分成包括場地租賃費、設施使用費、清潔費、物業管理費、其他管理費等以及零售增值稅和其他有關稅項。

18 仲裁：

10. payment terms & procedures付款條件及程序：
after contract sign, the selling party is open by first-rate bank in 3 workdays a can’t cancel of fulfill contract and performance bond, with 2% of the total payment amount. the buyer receives to fulfill contract to protect the letter, being opened a list by the bank of china in 7 workdays the irrevocable, transferable confirmed “at sight” documentary letter of credit, the amount of money is 100% of the total payment, from open a day valid for 60 days, a nd should in the selling party bank in time 95% documents against payment in counter. 5% payment of the surplus, at the arrival of the goods purpose harbor, business the both parties examine the report at the port of discharge ciq result to settle accounts. pb open once receive l/c, l/c shall automatic active once pb open. has the ciq to report in 10 work days, business the both parties settle accounts the tail style with the method of t/t.
合同簽訂之后，賣方在3個工作日內由第一流銀行開出不可撤銷的履約保函，金額為總貨款金額的2%;買方收到履約保函，在7個工作日內由中國的銀行開出不可撤銷、可轉讓，確認信用證，金額為總貨款的100%，從開證之日起60天內有效，信用證應在賣方銀行柜臺95%付款交單。
剩余的5%貨款，在貨物到達目的港，買賣雙方以卸貨港ciq 檢驗報告結果來結算。
pb開立一次信用證，pb將自動積極一次啟動信用證。
出具ciq報告10個工作天內，買賣雙方以t/t方式結算尾款。

16. without any penalty to buyer買方不須負擔任何罰款：
seller then to offer another cargo that complies with contract terms, time being of the essence o r the buyer has the right to cancel the contract, a nd in that event under clauses in sections 15 the seller shall pay all the penalty to buyer include the fees of the discharge port.
在規格達到第15條的退貨標準情形下，賣方此時須于時限內重新提供符合合約條件的貨品與買方，否則買方有權取消本合約，而賣方必須支付包括卸貨港所有損失罰款費用于買方。
17.weighment重量：
the invoice weight shall be determined by draft survey at load port, certified by sgs (pt.sucofindo)/ciq at sellers expense, after adjustment to obtain quantity (see below). weight as obtained at load port, in the above manner shall be final a nd accepted by seller a nd buyer.
發票上的實際重量應以船舶在裝貨港的吃水鑒定作為貨品實際重量，鑒定報告是由sgs (pt.sucofindo)/ciq以實際貨量調整額為基準所開出，費用由賣方負擔，此一數量額為買賣雙方共同所接受。
buyer shall be entitled, at its own expense, to have his representative present at the draft survey, a nd any difference of opinion is to be settled by the master of the charter vessel, whose decision shall be final.
買方有權以自費方式指派代表人參與船身吃水鑒定，且船公司得接受其意見，并共同決定鑒定結果。
buyer shall be entitled to have draft survey conducted by sgs o r another independent international inspection agency at the discharge port, at its own expense.
買方亦有權以自費方式，由sgs (pt.sucofindo)或其它國家檢驗公證機構于卸貨港實施船身吃水鑒定。
18.chemical analysis化學成分分析：
the chemical composition of the cargo shall be determined by an independent international agency at load port, seller cost.
貨物之化學組成成份分析，須由獨立的國際公證檢驗機構在裝貨港檢驗證明，所需費用由賣方負擔。
19. moisture content水分含量：
the moisture content shall be determined by obtaining the moisture loss at 105 degrees centigrade. if the moisture loss exceeds 8 % seller shall adjust the final weight obtained from draft survey by the excess moisture content so found, a nd invoice only the resulting net weight.
水份含量是以攝氏105℃下水氣逸失后所測得知濕度值8%基準，若所測之知濕度值超過8%時，賣方必須按照船身吃水鑒定報告來調整出最后實際重量，發票僅依凈重。
20. sampling a nd analysis抽樣及分析：
all sampling a nd analysis relevant to the contract terms shall be conducted at load port.
依照合約內容所進行的采樣及分析工作應于裝貨港口實施之。
supposing the cargo gets any discrepancy between the inspection at discharge port a nd the sgs (pt.sucofindo)/ciq(according to the agreement). the ending result by ciq for this contract.
若買方在卸貨港檢驗時與賣方的sgs (pt.sucofindo)/ciq證明(符合合約規范)有所差異時，以ciq檢驗為最終檢驗標準結果。
21.title to cargo貨物所有權：
the title with respect to the shipment shall pass from the seller to the buyer when the seller receives reimbursement of the proceeds from the opening bank through the negotiating bank against the relative shipping documents as forth herein. the seller shall have full right a nd title to dispose of the cargo in any manner that he should think fit, if the payment is delayed o r any unreasonable objection is raised by the opening o r negotiating bank.
賣方于檢附海運提單及相關文件經由押匯行向開狀銀行取得應收的押匯款后，貨物所有權同時歸買方所擁有。
若開狀銀行或押匯行以不合理之異議作為拒付或者有延遲付款情形產生時，賣方有完全的權利以其單方所認定的合適方法對貨物做任何的處理。
22. inspection檢測:
draft survey weight at loading port certified by sgs (pt.sucofindo) at the loading port shall be final subject to 0.5% franchise against b/l weight.
in case, there is a difference in weight compared to b/l weight exceeding 0.5%, buyer o r seller will compensate the amount in excess o r shortage (including 0.5%). seller may appoint a surveyor at discharging port at the seller’s expense. inspection certificates issued by ciq at the discharging port shall be deemed as final. all compensation amounts in excess o r shortage between the buyer a nd the seller will be paid within 7 (seven) banking days.
在裝運港由sgs(pt.sucofindo)檢測的重量與提單重量相差0.5%以內應為最終結算標準。
如果與提單所示重量相差超過0.5%，買方或賣方應補償超出或短缺部分(包括0.5%)。
賣方可以自費指定卸貨港檢測員。
在卸貨港由 ciq頒發的檢測證書應為最終結果。
買賣雙方之間對超出或短缺部分的差額之補償應在7個銀行工作日內付清。

18 仲裁：
在履行協議過程中，如產生爭議，雙方應友好協商解決。若通過友好協商未能達成協議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據該會仲裁程序暫行規定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。

賣方應于貨物裝載完成后三個工作日內通知買方，內容應詳細注明合約編號，商品名稱，毛重，裝運日期，船舶名稱，發票概約值，到達卸貨港的預估日。
10. payment terms & procedures付款條件及程序：
after contract sign， the selling party is open by first-rate bank in 3 workdays a can‘t cancel of fulfill contract and performance bond， with 2% of the total payment amount. the buyer receives to fulfill contract to protect the letter， being opened a list by the bank of china in 7 workdays the irrevocable， transferable confirmed “at sight” documentary letter of credit， the amount of money is 100% of the total payment， from open a day valid for 60 days， a nd should in the selling party bank in time 95% documents against payment in counter. 5% payment of the surplus， at the arrival of the goods purpose harbor， business the both parties examine the report at the port of discharge ciq result to settle accounts. pb open once receive l/c， l/c shall automatic active once pb open. has the ciq to report in 10 work days， business the both parties settle accounts the tail style with the method of t/t.
合同簽訂之后，賣方在3個工作日內由第一流銀行開出不可撤銷的履約保函，金額為總貨款金額的2%；買方收到履約保函，在7個工作日內由中國的銀行開出不可撤銷、可轉讓，確認信用證，金額為總貨款的100%，從開證之日起60天內有效，信用證應在賣方銀行柜臺95%付款交單。剩余的5%貨款，在貨物到達目的港，買賣雙方以卸貨港ciq 檢驗報告結果來結算。pb開立一次信用證，pb將自動積極一次啟動信用證。出具ciq報告10個工作天內，買賣雙方以t/t方式結算尾款。
11.documents required for payment付款所需單證：

the bank charge（s） for the issuance of the letter of credit shall be borne by the buyer. the bank charge（s） after the issuance of the letter of credit shall be borne by the seller. the bank charge（s） for amendment of the letter of credit， if any， shall be borne by the responsible party.
買方負擔銀行開證費用。賣方負擔開證后的銀行費用。信用證更改產生的銀行費用由責任方負擔。

16. without any penalty to buyer買方不須負擔任何罰款：
seller then to offer another cargo that complies with contract terms， time being of the essence o r the buyer has the right to cancel the contract， a nd in that event under clauses in sections 15 the seller shall pay all the penalty to buyer include the fees of the discharge port.
在規格達到第15條的退貨標準情形下，賣方此時須于時限內重新提供符合合約條件的貨品與買方，否則買方有權取消本合約，而賣方必須支付包括卸貨港所有損失罰款費用于買方。
17.weighment重量：
the invoice weight shall be determined by draft survey at load port， certified by sgs （pt.sucofindo）/ciq at sellers expense， after adjustment to obtain quantity （see below） weight as obtained at load port， in the above manner shall be final a nd accepted by seller a nd buyer.
發票上的實際重量應以船舶在裝貨港的吃水鑒定作為貨品實際重量，鑒定報告是由sgs （pt.sucofindo）/ciq以實際貨量調整額為基準所開出，費用由賣方負擔，此一數量額為買賣雙方共同所接受。
buyer shall be entitled， at its own expense， to have his representative present at the draft survey， a nd any difference of opinion is to be settled by the master of the charter vessel， whose decision shall be final.
買方有權以自費方式指派代表人參與船身吃水鑒定，且船公司得接受其意見，并共同決定鑒定結果。
buyer shall be entitled to have draft survey conducted by sgs o r another independent international inspection agency at the discharge port， at its own expense.
買方亦有權以自費方式，由sgs （pt.sucofindo）或其它國家檢驗公證機構于卸貨港實施船身吃水鑒定。
18.chemical analysis化學成分分析：
the chemical composition of the cargo shall be determined by an independent international agency at load port， seller cost.
貨物之化學組成成份分析，須由獨立的國際公證檢驗機構在裝貨港檢驗證明，所需費用由賣方負擔。
19. moisture content水分含量：
the moisture content shall be determined by obtaining the moisture loss at 105 degrees centigrade. if the moisture loss exceeds 8 % seller shall adjust the final weight obtained from draft survey by the excess moisture content so found， a nd invoice only the resulting net weight.
水份含量是以攝氏105℃下水氣逸失后所測得知濕度值8%基準，若所測之知濕度值超過8%時，賣方必須按照船身吃水鑒定報告來調整出最后實際重量，發票僅依凈重。
20. sampling a nd analysis抽樣及分析：
all sampling a nd analysis relevant to the contract terms shall be conducted at load port.
依照合約內容所進行的采樣及分析工作應于裝貨港口實施之。
supposing the cargo gets any discrepancy between the inspection at discharge port a nd the sgs （pt.sucofindo）/ciq（according to the agreement） the ending result by ciq for this contract.
若買方在卸貨港檢驗時與賣方的sgs （pt.sucofindo）/ciq證明（符合合約規范）有所差異時，以ciq檢驗為最終檢驗標準結果。
21.title to cargo貨物所有權：
the title with respect to the shipment shall pass from the seller to the buyer when the seller receives reimbursement of the proceeds from the opening bank through the negotiating bank against the relative shipping documents as forth herein. the seller shall have full right a nd title to dispose of the cargo in any manner that he should think fit， if the payment is delayed o r any unreasonable objection is raised by the opening o r negotiating bank.
賣方于檢附海運提單及相關文件經由押匯行向開狀銀行取得應收的押匯款后，貨物所有權同時歸買方所擁有。若開狀銀行或押匯行以不合理之異議作為拒付或者有延遲付款情形產生時，賣方有完全的權利以其單方所認定的合適方法對貨物做任何的處理。
22. inspection檢測：
draft survey weight at loading port certified by sgs （pt.sucofindo） at the loading port shall be final subject to 0.5% franchise against b/l weight.
in case， there is a difference in weight compared to b/l weight exceeding 0.5%， buyer o r seller will compensate the amount in excess o r shortage （including 0.5%） seller may appoint a surveyor at discharging port at the seller‘s expense. inspection certificates issued by ciq at the discharging port shall be deemed as final. all compensation amounts in excess o r shortage between the buyer a nd the seller will be paid within 7 （seven） banking days.
在裝運港由sgs（pt.sucofindo）檢測的重量與提單重量相差0.5%以內應為最終結算標準。如果與提單所示重量相差超過0.5%，買方或賣方應補償超出或短缺部分（包括0.5%）
賣方可以自費指定卸貨港檢測員。在卸貨港由 ciq頒發的檢測證書應為最終結果。
買賣雙方之間對超出或短缺部分的差額之補償應在7個銀行工作日內付清。

具體協議如下：

設計工作內容：

不包括的設計項目：

乙方設計須高要求，高水準，滿足甲方達到相關的功能和檔次要求。

裝飾工作程序及成果：
第一階段——概念設計。
召開由本項目相關人員參與的初步協調會議，針對甲方對本項目的要求，所需的各種條件的分析，及本項目不同部門運作方式等因素，提
出一套本項目作業進展的流程表，建立本項目各功能區所需的設計標準，提出初步規劃方案。本設計方向甲方提供一份可作為本項目場地信息參考的初步平面方案圖，甲方書面認可本方案后，表示第一階段的工作圓滿完成。
第二階段——初步設計。
融合甲方在初步方案確定后提出的意見，更進一步深化構思，使設計平面具體化，針對第一項工作范圍內每個裝修部分提供深化平面功能布局圖,并提交重要空間效果圖，正式提交本項目設計平面具體化后的成果，甲方書面認可此份圖紙后，第二階段完成。
第三階段——深化設計。
施工圖全面繪制內容
設計圖的修改
甲方在收到各個階段的圖紙后3日內對設計圖提出修改,乙方在收到修改通知后及時進行修改。此段修改設計時間不在設計合同執行時間范圍內。甲方收到乙方修改圖紙后,應向乙方簽發書面確認,超過3日如沒有修改意見且沒有書面確認文件則被認定該階段已被確認。
修改設計的范圍為甲方尚沒書面確認的階段,如對已確定階段進行修改則視為變更。
第三條:甲方向乙方提交的有關基礎資料、文件及時間:
原有總體規劃圖、原土建結構圖、詳盡的設計任務書。土建設計方單位提供建筑設計施工圖,及消防圖紙.提交的時間:
第四條:設計合同的執行與時間：
本合同設計執行周期為天，其中第一階段樣板房設計周期天,其他見詳細的設計工作計劃，自簽字之日起生效。自2011 年月日起至年月日止。
第五條:設計費用及設計成果交付方式：
設計費用總額為元整（稅前價，不含稅）。付款方式為：本合同簽定3日內,甲方支付合同款的30％（元整）作為設計定金，乙方即開始設計工作；第一、第二工作階段完成，甲方支付合同款的30％（元整）;經甲方書面確認后乙方開始第三階段工作,工作完成并經甲方書面確認后，甲方支付合同款的35％（元整），甲方付款后才可取走設計圖紙，進入第四階段的后期服務工作，竣工后，甲方支付余款，設計工作結束。
第一、第二階段的設計成果乙方用電子版的方式與甲方溝通,溝通完成甲方書面確認后,乙方將設計成果打印裝訂后交付甲方；第三階段乙方提供全部施工圖，3套給甲方備案，此3套圖以外，出圖費由甲方支付。
第六條:雙方責任
甲方責任
甲方按本合同規定的時間向乙方提交基礎資料和文件。
甲方變更本合同約定的設計范圍、工作內容、或因提交資料有誤而需乙方對設計成果修改,或對已確認的乙方設計方案提出變更,造成乙方返工,工作量超過被修改空間工作量的10%,甲方應按乙方所增加工作量占該修改空間的比例,折合地面面積,以300元/平方米向乙方支付設計費。設計周期順延。
乙方在第一、第二、第三工作階段交圖后一周內甲方必需做出確認答復，超過一周如無答復視為甲方同意已完成的設計成果，乙方此設計階段工作完成。
乙方責任
乙方應按國家規定和合同約定的技術規范、標準進行設計,并按本合同規定的內容、時間向甲方交付設計文件,并對設計文件的質量負責。
乙方負責向甲方及施工單位進行設計交底,處理有關設計問題。
乙方對設計文件出現的問題負責修改或補充。
第七條:違約責任：
甲乙雙方都必須嚴格按以上條款認真執行，乙方未按時完成設計，每超一天，乙方應支付200元違約金，甲方可在設計費中扣除；甲方未按時付款，每日支付乙方500元的滯納金,設計周期順延。
第八條:不可抗力
由于發生不可抗力導致本合同不能覆行或不能究全覆行時,遭遇不可抗力的一方,應立即將相應情況書面通知對方,根據不可抗力事由對履行本合同影響的程度,由雙方協商解除本合同,或部分免除本合 同的履行義務,或延期履行本合同。
第九條:糾紛處理
本合同項下一切爭議,雙方可協商解決,協商不成或不愿協商的,交由原告所在地人民法院管轄。
第十條:合同生效及其他
本合同雙方法定代表人或授權人簽字蓋章即生效,一式肆份,雙方各執兩份。
未盡事宜,經雙方協商一致,簽訂補充協議,補充協議與本協議具有同等效力。
